Please read these terms carefully. By creating an account or accepting an invitation to join an organization on Pact, you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you may not access or use the platform.
1. About Pact
Pact is a B2B software platform that helps animal rescue and foster organizations manage intake, matching, and placement logistics. Pact is operated as a for-profit service. Pact is not an animal rescue organization. Pact does not own, place, or care for animals. Pact is not a healthcare provider, social services agency, or legal entity with duties to any patient, client, or animal. Pact is responsible solely for operating the software platform described in these Terms.
2. Who These Terms Apply To
These Terms apply to all individuals who create an account or access the Pact coordinator dashboard, including coordinators who manage placements day-to-day, organization administrators who onboard their organization and invite team members, and any other personnel granted access to a Pact organization account. These Terms do not apply to foster applicants or patients/clients who submit public intake forms. Those users do not create accounts and are not bound by these Terms, though their data is handled in accordance with our Privacy Policy.
3. Account Creation and Access
Access to the Pact coordinator dashboard is by invitation only. An invitation is issued by an organization administrator or by Pact directly. You must accept these Terms before your account is activated. You cannot use the platform without acknowledging that you have read and agree to these Terms. You are responsible for maintaining the confidentiality of your login credentials, all activity that occurs under your account, and promptly notifying Pact if you believe your account has been compromised.
4. Permitted Use
You may use Pact solely for its intended purpose: managing foster placements and related program operations on behalf of your organization. You agree not to access records, data, or features belonging to another organization; use the platform for any unlawful purpose; upload, enter, or transmit data you do not have the legal right to share; attempt to reverse-engineer, scrape, copy, or interfere with the platform or its underlying systems; circumvent any access controls or authentication mechanisms; or resell, sublicense, or otherwise commercialize access to the platform.
5. User-Submitted Data and Content
5.1 Your Responsibility for Data. You and your organization are solely responsible for all data, records, files, and content you enter into Pact ("User Content"). This includes information about foster applicants, animals, clients, and patients. Pact does not review, validate, or screen User Content. By entering data into the platform, you represent and warrant that you have the legal right to collect, store, and process that data; the data does not violate any applicable law, regulation, or third-party right; and you have obtained any required consents from individuals whose data you enter.
5.2 Sensitive Information. Pact is not designed or certified as a platform for storing protected health information (PHI) under HIPAA, attorney-client privileged communications, financial account data governed by PCI-DSS, or any other category of data subject to heightened legal protection. You assume all risk associated with entering such data into the platform. Pact disclaims all liability arising from your decision to do so.
5.3 Pact's Limited Role. Pact acts solely as a passive conduit and storage environment for User Content. Pact is not liable for any harm, loss, legal claim, regulatory action, or other consequence arising from the nature, accuracy, legality, or use of any User Content — including data that is inaccurate, incomplete, or misleading; data that violates a third party's privacy rights; data that is subject to a legal hold, subpoena, or privilege; or data that contains malware, harmful code, or other damaging content.
6. AI-Generated Content
Pact uses an AI matching engine to generate match scores, explanatory summaries, and suggested outreach messages. This output is generated automatically and is provided as a tool to assist coordinator judgment — not as a recommendation, guarantee, or substitute for human decision-making. All placement decisions, outreach actions, and program outcomes are the sole responsibility of the coordinator and their organization. Pact is not liable for any outcome resulting from reliance on AI-generated content.
7. Data Storage and Privacy
Pact stores User Content in order to operate the platform. User Content is scoped to the organization that created it and is not accessible to other organizations on the platform. Pact does not sell personal data. Pact may use aggregated, de-identified usage data to improve the platform. You and your organization are responsible for ensuring that data entered about third parties — including foster applicants, patients, clients, and animals — is handled in accordance with all applicable privacy laws.
8. Termination
Pact may suspend or terminate your account at any time, with or without notice, if you violate these Terms or if your organization's account is closed. You may request account deletion by contacting carter@pact.dog. Upon termination, your access to the platform will cease and Pact may delete your account data in accordance with its data retention practices.
9. No Warranties
The platform is provided "as is" and "as available." Pact makes no warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, uninterrupted availability, or accuracy of any output. Use of the platform is at your own risk.
10. Limitation of Liability
To the fullest extent permitted by applicable law, Pact and its operators, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including animal placement outcomes, data loss or corruption, service interruptions or downtime, claims arising from User Content entered by you or your organization, or reliance on AI-generated match scores or outreach drafts. Pact's total cumulative liability shall not exceed the greater of $100 or the total fees paid by your organization to Pact in the twelve months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Pact and its operators from and against any claims, liabilities, damages, losses, and expenses — including reasonable legal fees — arising out of or related to: (a) your use of the platform; (b) User Content you enter or transmit; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party right.
12. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Texas, without regard to its conflict of law provisions. Any dispute arising under or related to these Terms shall be resolved in the state or federal courts located in Texas, and you consent to the personal jurisdiction of those courts.
13. Changes to These Terms
Pact may update these Terms at any time. The updated version will be posted at pact.dog with a revised "Last updated" date. Continued use of the platform after changes are posted constitutes acceptance of the updated Terms. For material changes, Pact will provide advance notice to active coordinator accounts via email.
14. Entire Agreement
These Terms constitute the entire agreement between you and Pact regarding your use of the platform and supersede any prior agreements or understandings, whether written or oral.
